Terms of Service

These terms are the agreement between Sadeim Inc. and the business that signs up for Vegawize ("you"). By creating an account, connecting a bank, or inviting someone to your business, you agree to them on behalf of that business.

1. What Vegawize is

Vegawize is bookkeeping software. It connects to your bank and card accounts, categorizes transactions into a chart of accounts, keeps a double-entry ledger, asks you about the transactions it is unsure of, and produces reports you or your accountant can use. Much of the categorization is done automatically, with software that makes mistakes sometimes. You review its work; the books are yours.

2. Not tax, legal or accounting advice

Vegawize does not provide tax, legal, or accounting advice, and nothing it produces — categorizations, summaries, reports, alerts — is a substitute for a qualified professional. You are responsible for reviewing your books, for the accuracy of anything you file or rely on, and for meeting your tax and legal obligations. If a bookkeeping firm uses Vegawize to keep your books, your agreement with that firm governs their work.

3. Your account

• You must be at least 18 and authorized to act for the business.
• Keep your password private and turn on two-factor authentication. You are responsible for activity under your account and for the people you invite.
• Give us accurate information about your business and keep it current.
• Each person must use their own login. Do not share accounts.

4. Bank connections and your data

• Bank connections are made through Plaid. By connecting an account you authorize us to retrieve the account and transaction data described in our Privacy Policy and you agree to the Plaid End User Privacy Policy.
• You confirm you are entitled to connect each account and to share its data with us and with anyone you invite to your business.
• You own your data. We use it only to provide the service, as the Privacy Policy describes. We do not sell it.
• You can disconnect any account, export your books, or delete your business at any time.

5. Acceptable use

Do not use Vegawize to break the law, to keep books for a business you are not authorized to act for, to probe or overload our systems, to scrape or resell the service, or to upload anything that infringes someone else's rights or contains malware. We may suspend accounts that do.

6. Fees

During the pilot, Vegawize is free. When paid plans begin we will tell account owners the price and terms at least 30 days in advance; nothing will be charged without your agreement. Fees, once they apply, are billed monthly in advance and are non-refundable except where the law requires otherwise.

7. Availability and support

We work to keep Vegawize available and to keep bank feeds current, but we depend on third parties (your bank, Plaid, cloud providers) and cannot promise uninterrupted service or that every transaction will arrive on time. Support is by email at [email protected].

8. Intellectual property

Vegawize — its software, design, and content other than your data — belongs to Sadeim Inc.. We give you a limited, non-exclusive, non-transferable license to use it for your business while your account is active. Feedback you send us may be used to improve the service without obligation to you.

9. Termination

You can close your account at any time from Settings or by emailing us; export your data first. We may suspend or close accounts for breach of these terms, for non-payment once fees apply, or if we discontinue the service (with at least 60 days' notice and a way to export your books). On closure we delete your data as the Privacy Policy describes.

10. Disclaimers and limits on liability

Vegawize is provided "as is". To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement, and we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the service. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim (or $100 if you paid nothing). Some jurisdictions do not allow some of these limits, in which case they apply to the extent permitted.

11. Indemnity

You will defend and hold Sadeim Inc. harmless from claims arising from your data, your use of the service in breach of these terms, or your violation of the law or of someone else's rights.

12. Governing law and disputes

These terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Cook County, Illinois, and both sides consent to their jurisdiction. Before filing, either side will first try in good faith to resolve the dispute by email for 30 days.

13. Changes

We may update these terms. For material changes we will email account owners at least 14 days before they take effect. Continuing to use Vegawize after that date means you accept the new terms.
